ORDINANCE NO. 3688
BE IT ORDAINED by the Mayor and City Council of the City of Bessemer, Alabama, as follows:
Section 1.
The Mayor and City Council (herein together called the “Council”) of the City of Bessemer, Alabama (herein called the “City”) have found and ascertained and do hereby declare as follows:
(a) The City owns and operates a water works plant and distribution system (herein called the “Water System”) by which it provides water service to the public in the City and in the surrounding territory.
(b) The City has heretofore issued its Water Revenue Warrants, Series 2017, dated December 28, 2017 (herein called the “Series 2017 Warrants”), in the original principal amount of $27,455,000, which are now outstanding in the aggregate principal amount of $23,630,000. The Series 2017 Warrants were issued under a Trust Indenture dated as of December 1, 2017 (herein called the “Original Indenture”), between the City and The Bank of New York Mellon Trust Company, N.A., as trustee.
(c) It is necessary and desirable for the City to construct various extensions and other capital improvements (herein called the “Improvements”) to the Water System.
(d) The City does not now have, and does not expect to obtain in the foreseeable future, all of the funds that will be necessary to pay the costs of constructing the Improvements.
(e) In order for the City to obtain the funds that will be needed to pay the costs of constructing the Improvements, it is necessary and desirable, and in the best interest of the residents of the City and of the surrounding territory, for the City to borrow the principal sum not exceeding $4,000,000 and in evidence of that borrowing to issue the Series 2025 Warrants hereinafter described on a parity of lien and pledge with the Series 2017 Warrants.
(f) Section 7 of this Ordinance sets forth the parameters for the amount and terms of the Series 2025 Warrants. The Mayor is hereby authorized and directed to execute and deliver, in the name and on behalf of the City, a certificate in form satisfactory to counsel for the City that establishes, within the parameters set forth in said Section 7, the definitive amount and terms of the Series 2025 Warrants (said certificate being herein called the “Definitive Terms Certificate”). In setting the definitive amount and terms of the Series 2025 Warrants reflected in the Definitive Terms Certificate, the Mayor may rely upon the advice and recommendations of counsel to the City and advisors to the City.
Section 2.
Pursuant to the Constitution and laws of the State of Alabama, and particularly Sections 11-47-2, 11- 50-1, 11-50-3 and 11-50-5, Code of Alabama 1975, and in order to obtain funds with which (i) to pay the costs of constructing the Improvements and (ii) to pay the expenses of issuing the Series 2025 Warrants hereinafter authorized, there are hereby authorized to be issued by the City its not exceeding $4,000,000 in aggregate principal amount Water Revenue Warrants, Series 2025, to be dated their date of issuance (herein called the “Series 2025 Warrants”). As more particularly provided in the First Supplemental Indenture authorized in Section 5 of this Ordinance (herein called the “First Supplemental Indenture”), the Series 2025 Warrants shall be issued as fully registered warrants in the denomination of $5,000 or any integral multiple thereof The Series 2025 Warrants shall bear such dates, shall mature at such times and in such manner, shall be payable at such place, shall bear interest from their date until their maturity at such per annum rate or rates, shall bear such numbers and shall be in such form and contain such provisions as are set out in the Indenture and as shall be consistent with the applicable provisions of the Definitive Terms Certificate and of the Official Statement authorized in Section 6 of this Ordinance. All the provisions of the Original Indenture, as supplemented by the First Supplemental Indenture, and of the Series 2025 Warrants authorized to be issued thereunder are hereby adopted as a part of this Ordinance as though the same were set out in full herein. The Original Indenture, as supplemented and amended by the First Supplemental Indenture, is herein sometimes referred to as the “Indenture.”
Section 3.
The principal of and the interest and premium (if any) on the Series 2025 Warrants shall be payable solely out of the revenues to be derived by the City from the operation of the Water System, subject, however, to the prior payment of the expenses of operating the Water System, including the cost of purchasing water from the Governmental Utilities Services Corporation of the City of Bessemer (herein called the “System Net Revenues”), on a parity of pledge with the City’s Series 2017 Warrants. Neither the Series 2025 Warrants nor any of the agreements contained herein or in the Indenture shall ever constitute an indebtedness of the City within the meaning of any state constitutional or statutory provision or limitation. The general faith and credit of the City are not pledged to payment of the principal of or the interest or premium (if any) on the Series 2025 Warrants, and the Series 2025 Warrants shall not be general obligations of the City. No agreement, representation or warranty made or implied in this Ordinance, or in the issuance of the Series 2025 Warrants, shall ever impose any general liability or charge upon the City, whether before or after any breach by the City of any such agreement, representation or warranty, except with the System Net Revenues. Nothing contained in this section, however, shall relieve the City or its officers from its or their obligation to perform the several agreements on its or their part contained herein and in the Indenture so long as such performance does not impose a general liability or charge upon the City.
Section 4.
All remittances of principal of and interest and premium (if any) on the Series 2025 Warrants shall be made to the holders of the Series 2025 Warrants at par without any deduction for exchange or other costs, fees or expenses. The bank or banks at which the principal of and the interest and premium (if any) on the Series 2025 Warrants shall at any time be payable shall be considered, by acceptance of their duties hereunder, to have agreed that they will make or cause to be made remittances of principal of and interest and premium (if any) on the Series 2025 Warrants, out of the moneys provided for that purpose, in bankable funds at par without any deduction for exchange or other costs, fees or expenses. The City will pay, or cause to be paid, to such bank or banks all reasonable charges made and expenses incurred by them in making such remittances in bankable funds at par.
Section 5.
As security for the payment of the principal of and the interest and premium (if any) on the Series 2025 Warrants, the Series 2017 Warrants, and any additional parity warrants that may be issued under the Indenture hereinafter authorized, pro rata and without preference or priority of one warrant over another or of the warrants of any one series over those of any other, the Council does hereby authorize and direct the Mayor of the City to execute and deliver, for and in the name and behalf of the City, a First Supplemental Indenture (herein, as previously indicated, called the “First Supplemental Indenture”) from the City to The Bank of New York Trust Company, N.A., as Trustee (herein, in its capacity as Trustee under the Indenture, called the “Trustee”), under which the System Net Revenues shall be pledged to the Trustee. The Council does also hereby authorize and direct the Clerk of the City to affix the corporate seal of the City to the First Supplemental Indenture and to attest the same. The First Supplemental Indenture shall be in substantially the form presented to the meeting of the Council at which this Ordinance is adopted (which form shall be attached to the minutes of such meeting as Exhibit I and which is hereby adopted in all respects as if the same were set out in full herein), with such changes as the Mayor or the City shall determine to be necessary or desirable in order to consummate the transactions authorized by this Ordinance, the determination of the definitive form of the First Supplemental Indenture by such officer to be conclusively established by his execution of such document.
Section 6.
The Mayor of the City is hereby authorized and directed to execute and deliver, for and in the name and behalf of the City, an Official Statement (herein called the “Official Statement”), with respect to the Series 2025 Warrants. The Official Statement shall be in substantially the form of the Preliminary Official Statement pertaining to the Series 2025 Warrants (herein called the “Preliminary Official Statement”), except that the Official statement shall include and reflect the pricing terms for the Series 2025 Warrants and such minor changes as the said Mayor shall determine to be necessary or desirable in order to describe accurately the Series 2025 Warrants and all other aspects of the transactions authorized by this Ordinance, the determination by such officer of any changes to the Official Statement to be conclusively established by his execution thereof. The Preliminary Official Statement shall be in substantially the form presented to the meeting at which this Ordinance is adopted (which form shall be attached to the minutes of said meeting as Exhibit II and which is hereby adopted in all respects as if the same were set out in full herein), with such additions and revisions (if any) as may be appropriate to reflect and describe bond insurance and such other changes (if any) as the Mayor shall determine to be necessary or desirable. The distribution and use of both the Preliminary Official Statement and the final Official Statement by Piper Sandler & Co. (herein called the “Underwriter”) in connection with the offering and sale of the Series 2025 Warrants are hereby authorized and approved.
Section 7.
The Series 2025 Warrants shall be and hereby are sold and awarded to the Underwriter at and for a purchase price as set forth in and on the terms and conditions specified in that certain Warrant Purchase Agreement between the City and the Underwriter dated the date of its execution, and the Mayor of the City is hereby authorized and directed to execute the Warrant Purchase Agreement, in the name and behalf of the City. Notwithstanding the foregoing provisions of this paragraph, the Mayor shall not execute and deliver the Warrant Purchase Agreement unless (i) the principal amount of the Series 2025 Warrants does not exceed $4,000,000; (ii) the all-in total interest cost on the Series 2025 Warrants does not exceed 6.50%; and the (iii) the underwriter’s discount reflected in the Warrant Purchase Agreement does not exceed 1.25% of the principal amount of the Series 2025 Warrants. The Mayor’s execution and delivery of the Warrant Purchase Agreement and the execution of the Definitive Terms Certificate by the Mayor shall constitute such officer’s approval of the final pricing terms of the Series 2025 Warrants. The Mayor of the City is hereby authorized and directed to execute the Series 2025 Warrants, in the name and behalf of the City, by manually signing or by causing a facsimile of his signature to be imprinted thereon, and the Clerk of the City is hereby authorized and directed to cause the corporate seal of the City to be impressed or a facsimile thereof to be imprinted on the Series 2025 Warrants and to attest the same by manually signing or by causing his signature to be imprinted thereon, all in the manner provided in the Indenture. The Mayor of the City is hereby directed thereupon to deliver the Series 2025 Warrants to the Trustee and to direct the Trustee to authenticate all the Series 2025 Warrants and to deliver them to the Underwriter upon payment to the City of the purchase price therefor.
Section 8.
The entire proceeds derived by the City from the sale of the Series 2025 Warrants shall be paid by the City to the Trustee, which is thereupon authorized and directed to apply and disburse such moneys for the purposes and in the order specified in Section 3.7 of the First Supplemental Indenture and the Closing Disbursement Memorandum attached as an exhibit to the First Supplemental Indenture.
Section 9.
The Mayor and the Clerk of the City are hereby further authorized and directed to execute, deliver, seal and attest such other ancillary documents and certificates (including, without limitation, a so-called “Tax Compliance and No Arbitrage Certificate” and a Continuing Disclosure Agreement) as may be necessary to effect the issuance of the Series 2025 Warrants and to carry out fully the transactions contemplated in the documents authorized in this Ordinance to be executed and delivered on behalf of the City.
Section 10.
All actions heretofore undertaken by the City in connection with the transactions contemplated by this Ordinance are hereby ratified and confirmed.
Section 11.
The Council hereby authorizes the Mayor to execute a Commitment to Issue a Municipal Bond Insurance Policy (herein called the “Commitment”) between the City and the municipal bond insurance company who, in the opinion of the Mayor, offers the most advantageous quote to the City to provide municipal bond insurance for the Series 2025 Warrants (herein called the “Insurer”). Subject to the terms and conditions of the Commitment, the City desires for the Insurer to issue on the date of delivery of the Warrants, a Municipal Bond Insurance Policy (herein called the “Policy”) and a Reserve Surety (the “Surety”) for the Warrants, insuring the payment of principal of and interest on the Series 2025 Warrants when due.
Section 12.
The provisions of this Ordinance pertaining to the Series 2025 Warrants shall constitute a contract between the City and each holder of the Series 2025 Warrants. Section 13. The various provisions of this Ordinance are hereby declared to be severable. In the event any provision hereof shall be held invalid by a court of competent jurisdiction, such invalidity shall not affect any other provision of this Ordinance.

BE IT RESOLVED AND ORDAINED by the Board of Trustees of the McCalla Area Fire District as follows:
This Ordinance for the levy of a revised service charge on business units is in addition to any and all ordinances currently in effect for service charges levied by the Board.
All provisions of the current service charge ordinance shall apply to this ordinance as to definitions, levy, collection, exemption, due date, delinquency and enforcement of the service charge herein.
Section 4. Schedule of Service Charges. Service charges shall be calculated as follows:
A. Business Units. The service charge for each business or mini-warehouse facility, as approved by the Board at their sole discretion, shall be 13 mils of its current assessed value.
All other provisions of Section 4 shall remain unchanged and in full force and effect.
This ordinance shall become effective after eight days have elapsed following the publication in a newspaper of general circulation and posting of notice in each fire station, or as otherwise provided by law pursuant to Section 13 of Act No. 79 of the Special Session of the Legislature of Alabama 1966, as amended, and shall remain in effect for subsequent service charge years until repealed or amended by the Board of Trustees of the District.
